Terms and Conditions

1. Definitions

For the purposes of these Terms and Conditions, the following definitions apply:

  • Agreement – The legally binding arrangement between the client and hire-ruby-developers.com, including the proposal, these Terms and Conditions, and any supplementary documentation.
  • Client Materials – All content provided by the client for use within a project, including but not limited to text, images, data, and specifications.
  • Deliverables – All work products contractually agreed to be produced and delivered by hire-ruby-developers.com.
  • Company Tools – Any proprietary or non-proprietary tools, frameworks, libraries, fonts, software, source code, methods, designs, architectures, workflows, or other materials created or used by hire-ruby-developers.com, whether or not they are subject to intellectual property protection.
  • Final Deliverables – The completed and approved version of the deliverables provided to the client.
  • Project – The scope of work and services to be performed as outlined in the Agreement.
  • Services – All development, consulting, and related services provided by hire-ruby-developers.com under the Agreement.
  • Third-Party Assets – Materials sourced from external providers, such as stock images, libraries, plugins, or licensed software, incorporated into the project.

2. Development Services

hire-ruby-developers.com will perform the Services as specified in the approved proposal and Agreement, in accordance with the defined scope, timeline, and milestones.

3. Proposals and Scope of Work

All proposals remain valid for 30 calendar days from the date they are issued. If a proposal is not accepted within this timeframe, hire-ruby-developers.com reserves the right to revise, withdraw, or resubmit the proposal with updated terms.

4. Fees, Expenses, and Additional Costs

  • Fees – All service fees and applicable taxes must be paid by the client as outlined in the project plan.
  • Expenses – Any project-related expenses will be charged to the client at cost.
  • Additional Costs – Costs related to third-party services (such as hosting, licenses, or external tools) are billed separately and are not included in development fees unless explicitly stated.

5. Payment Terms

  • Invoices – All invoices are payable within 5 days of receipt.
  • Payment Schedule – Payments must follow the schedule defined in the project milestones.
  • Late or unpaid invoices may result in suspension of Services.

6. Changes to Project Scope

  • Change Requests – Any requested modification must be submitted in writing. hire-ruby-developers.com will respond within 5 business days with details on impact, cost, and revised timelines.
  • Minor Changes – Changes estimated to be under 20% of the total project cost may be billed at standard hourly rates. Delivery timelines may be adjusted accordingly.
  • Major Changes – Changes exceeding 20% of the project cost require a revised or additional proposal. Work will pause until written approval is received.
  • Proposal Acceptance – Clients must approve revised proposals within 14 business days. Failure to do so releases hire-ruby-developers.com from further obligations related to the change.

7. Delays

  • Client Delays – Delays caused by late approvals, materials, or feedback from the client will result in equivalent extensions to the project timeline.
  • Company Delays – Any delays attributable to hire-ruby-developers.com will be communicated promptly.
  • External Delays – Events beyond either party’s control (including force majeure events such as natural disasters, government actions, labor disputes, or conflicts) will not constitute a breach and will extend timelines proportionally.

8. Review, Testing, and Acceptance

Revisions – hire-ruby-developers.com has 14 business days to address valid issues. The client then has an additional 7 days for final review.

Testing – Deliverables will be tested using industry-standard, commercially reasonable methods prior to submission.

Review Period – The client has 7 business days to accept or reject deliverables. Rejections must include written, specific feedback.
